1. PARTIES
The provider is UNITAR SOFT S.R.L., Romanian tax ID (CUI) 54974076, Trade Register J2026040619004, registered office: Bucharest, Sector 3, Strada Dristorului no. 98, Bl. 11, Sc. B, Floor 10, Ap. 85, Romania, e-mail office@unitarsoft.com (the "Provider"). The user is the person or company that installs or uses UNITAR STRUCT (the "User").
2. SUBJECT
UNITAR STRUCT is a plugin for AutoCAD and BricsCAD, intended for structural engineers, that generates reinforcement details, formwork drawings, schedules and quantities (together with its documentation and updates, the "Software"). By installing, activating or using the Software, the User accepts this agreement.
3. LICENSE GRANTED
3.1. The Provider grants the User a non-exclusive, non-transferable, revocable license to use the Software, for as long as the subscription is paid, for the User's professional work.
3.2. The license is for ONE USER and for at most 2 (two) computers that the User uses personally, under one license key. A computer can be released (command UNITAR_DEACTIVATE) and the license activated on another one. Use by several people requires separate licenses.
3.3. The Software is licensed, not sold. The Provider keeps all rights not expressly granted.
4. RESTRICTIONS
The User may not: (a) copy, distribute, rent, sublicense or make the Software available to others; (b) give the license key to others or publish it; (c) disassemble, decompile, decrypt or modify the Software, except where mandatory law allows it; (d) bypass, disable or falsify the license check, the system date or any technical protection measure; (e) use the Software to provide a competing service.
5. SUBSCRIPTION, PAYMENT, CANCELLATION
5.1. The license is tied to a monthly subscription. Payment is processed by Dodo Payments under its terms and the sales terms published on unitar.net (/termeni, /rambursare).
5.2. The license is active while the subscription is active. If the subscription is cancelled at the end of the period, the license stays valid until the end of the paid period. After a failed payment, an immediate cancellation or a refund, the license stops at the next validation. [TO CONFIRM: grace period for failed payments and refund policy - they must match the /termeni and /rambursare pages.]
5.3. The price, the trial period (if any) and the currency are those shown at checkout.
6. LICENSE CHECK AND OFFLINE USE
6.1. The Software checks the license through a token signed by the Provider's server (unitar.net), which it renews automatically, usually once a day, while the computer has internet access.
6.2. Without internet access the Software works for at most 7 (seven) days after the last validation. After that, or after the subscription stops, the modeling, rebar, sheet, editing and repair commands are refused until a new validation. Existing drawings stay open and can be edited with the CAD tools.
6.3. The Software may refuse to work if the system clock has been set back.
7. DATA SENT TO THE SERVER
On activation and validation the Software sends the server: the license key (kept on the server only as a SHA-256 fingerprint), the identifier of the operating-system installation (MachineGuid on Windows, machine-id on Linux), the computer name, the operating system, the CAD program used, and the Software version and channel. Drawings, project data, client names and file contents are NOT sent. The data is used only to manage the license (computer limit, fraud prevention, support) and is kept for the duration of the contract and as long as the law requires. Personal data processing is described in the Privacy Policy on unitar.net (/confidentialitate). [TO CONFIRM: data retention period.] The name or identifier of the licensee is NOT added to the sheets and files the Software generates.
8. THE USER'S DRAWINGS AND RESULTS
The drawings, plans, schedules and files the User produces with the Software belong to the User; the Provider has no right to them. The Software remains the Provider's property.
9. PROFESSIONAL RESPONSIBILITY
The Software is a design aid. Its results (reinforcement, lengths, quantities, drawings) must be checked by a licensed design engineer, who is responsible for the project and for compliance with the applicable codes. The Provider does not guarantee that the results are correct for a specific case and is not liable for the design or the construction of any structure.
10. WARRANTY AND LIMITATION OF LIABILITY
10.1. To the extent permitted by law, the Software is provided "as is", without warranties of uninterrupted operation or freedom from errors.
10.2. To the extent permitted by law, the Provider's total liability to the User does not exceed the amounts paid for the license in the last 12 months, and the Provider is not liable for indirect losses (profit, data, business interruption). No clause limits liability for fraud, gross negligence or any other case where the law does not allow a limitation. [TO CONFIRM: liability cap.]
10.3. The Provider may temporarily stop the license server for maintenance; the 7-day offline period protects the User in such cases.
11. UPDATES AND SUPPORT
The User receives Software updates while the subscription lasts. The Provider may require a minimum Software version to keep the license active. Support is given by e-mail at office@unitarsoft.com.
12. THIRD-PARTY PRODUCTS
The Software runs inside AutoCAD or BricsCAD, products of other vendors, for which the User must hold valid licenses. The Provider is not affiliated with those vendors.
13. TERMINATION
The license ends when the subscription stops or the agreement is breached. On termination the User stops using the Software and may uninstall it; the User's drawings remain the User's. Running UNITAR_DEACTIVATE before uninstalling or changing computers is recommended.
14. GOVERNING LAW AND DISPUTES
This agreement is governed by Romanian law. Disputes are settled amicably or, failing that, by the competent courts of Bucharest, Romania, subject to consumer rights that the law makes mandatory. [TO CONFIRM: competent court.]
15. FINAL PROVISIONS
The Provider may change this agreement for future versions of the Software by announcing the changes on unitar.net; continued use after the announcement means acceptance. If a clause is void, the rest of the agreement remains valid.
